Terms of Service

These Terms of Service ("Terms") govern any engagement between you ("Client") and Sanjay Singh, trading as Smart Solution ("Smart Solution", "I", "we"), for Shopify development, custom website/web app development, AI chatbot/RAG assistant integration, lead-capture agent development, or related consulting/discovery services (together, "Services"). By paying for a Discovery Call or any package on this site, you agree to these Terms.
1. This agreement
Smart Solution is operated by Sanjay Singh as an individual freelance developer, not a registered company. Any project begins only after a specific scope has been confirmed in writing (email or a written proposal/quote) — the general package descriptions on the Pricing page are a starting point, not the final scope for your specific project.
2. Scope of work
Each engagement (Discovery Call, Starter Package, Growth Package, or Retainer) has a defined scope agreed before work begins, covering: what will be built, which platforms/tools are used, number of pages/features included, and number of revision rounds. Work outside the agreed scope (new features, extra pages, additional integrations) is treated as a change request and quoted separately before it's started.
3. Payment terms
- The Discovery Call is paid in full (₹999) at the time of booking.
- Project packages (Starter, Growth) are invoiced as 50% upfront to begin work, and the remaining 50% due before final files/access are handed over or the site goes live, whichever comes first.
- Retainer engagements are billed monthly in advance; the first month's invoice is due before work starts each cycle.
- All payments are processed via Razorpay. Smart Solution does not see or store your full card, UPI, or bank account details — that data is handled entirely by Razorpay.
- Prices on the Pricing page are in INR and inclusive of Smart Solution's fee; third-party costs (see Section 7) are separate.
4. Revisions
Each package includes a set number of revision rounds (2 for Starter, 3 for Growth) covering reasonable adjustments to the agreed scope — copy tweaks, styling adjustments, minor layout changes. Requests that materially change the original scope (new pages, new features, a different platform) are treated as change requests and quoted separately. Additional revision rounds beyond what's included can be purchased at an hourly/fixed rate agreed in advance.
5. Timelines & client responsibilities
Delivery timelines quoted on the Pricing page (e.g. 10–15 business days for Starter, 3–5 weeks for Growth) assume the Client provides required materials and access promptly — content/copy, images, logins to existing hosting/Shopify/domain accounts, and timely feedback on drafts. Delays caused by the Client providing materials late, slow feedback, or requesting scope changes mid-project will extend the delivery timeline accordingly and are not considered a breach by Smart Solution.
6. Intellectual property & ownership
Upon receipt of full and final payment for a project, ownership of the final deliverables (custom code written for that project, design files created for that project) transfers to the Client. Until full payment is received, all work remains the property of Smart Solution. Smart Solution retains the right to reuse general-purpose code, components, or techniques developed during a project (not containing the Client's confidential business data) in future work for other clients. Third-party assets used in a project — purchased themes, stock images, licensed fonts, paid Shopify apps, AI model/API services — remain subject to their own respective licenses and are not owned by Smart Solution or transferred as "custom work."
7. Third-party costs & services
Smart Solution's fees do not include third-party costs the Client is responsible for directly, including but not limited to: domain registration, Shopify subscription fees, paid Shopify apps, hosting costs (e.g. Vercel/Render paid tiers if needed), AI/LLM API usage costs, and payment gateway fees charged by Razorpay or other processors. These are disclosed and estimated before being incurred wherever possible.
8. Liability limits
Smart Solution will perform the Services with reasonable skill and care, but does not guarantee specific business outcomes (sales, traffic, conversion rates, search rankings) since these depend on factors outside Smart Solution's control. To the maximum extent permitted by law, Smart Solution's total liability for any claim arising from an engagement is limited to the amount paid by the Client for that specific engagement. Smart Solution is not liable for indirect, incidental, or consequential losses (e.g. lost profits or lost data) arising from use of delivered work.
9. Termination
Either party may end an ongoing engagement (e.g. a Retainer) as described in the Refund & Cancellation Policy. For fixed-scope projects (Starter/Growth), Smart Solution may pause or end an engagement if the Client is unresponsive for more than 30 days or fails to make a due payment; work completed up to that point is retained by Smart Solution unless the Client's final payment covering that work has been made.
10. Refunds & cancellations
Refund eligibility is specific and is covered in full in the Refund & Cancellation Policy, which forms part of these Terms.
11. Governing law
These Terms are governed by the laws of India. Any dispute arising from an engagement will first be attempted to be resolved directly between the parties in good faith before any other proceedings.
